GENERAL TERMS AND CONDITIONS OF SALE



First Article - Subject:

The general terms and conditions of sale described hereafter detail the rights and obligations of Captiz and its professional clients in relation with the sale of an access to Captiz softwares and web technologies and related services.

Any performance realized by Captiz implies the buyers’ unconditional acceptance of this general terms and conditions of sale. Captiz’ offering is not designed for individuals.

Article 2 - Product presentation:

The goal of Captiz’ products and services is to facilitate the overall accessibility of media, in particular of videos. Specification of products and related services offered for sale are put forward by Captiz sales contracts, orders and by its website www.captiz.com. The pictures on the platform do not fall within the scope of the contract. The company cannot be held accountable if errors occur. All texts and images featured on the website fall, for the entire world, under the law of copyright and intellectual property. Their reproduction, even if it is partial, is strictly forbidden.

Article 3 - Pricing conditions:

Captiz’ pricing is, by default, indicated in euros and without any pre-taxes or V.A.T.. The amount of the VAT is written within trade proposals including quotation or in the contracts after the client opted for Captiz’ products and/or services.

Captiz reserves its right to modify its prices at any time, however the products and services ordered are invoiced at the prices in effect at the time of the order’s registration or when the contract was signed.

No discount will be granted for early payments.

Article 4 - The validity period of sale offers:

Products are offered for sale until stock depletion. For orders of a product or a service that became unavailable, the client will be informed about that unavailability, as soon as possible, via electronic mail or paper mail.

For the payment by customer for a product or service that became unavailable, Captiz will repay the client, as soon as possible, without any indemnity or compensation being provided for the client.

Article 5 - Orders:

The client confirms his or her order when he or she accepts a quotation by email or paper mail, or when a contract is signed. Any order implies the acceptance of the general terms and conditions of sale presented herein.

Before this confirmation, the client can check any items of his/her order and thus correct possible errors.

Data registered by the Captiz company constitute evidence of the nature, the content and the date of the order. It is archived by Captiz within the legal conditions and deadlines applicable; the client can access to this archiving by contacting Captiz Customer Service.

Article 6 - Payment conditions:

Orders may be paid:
by cheque (only for customers based in France)
by credit card
by online payment when it is proposed
During the registration of the order (acceptance of the quotation or signing of the contract), the purchaser has to pay the entire amount of the invoice. Any fee due to the medium of payment will be at the charge of the customer.

Article 7 - Late payment:

In the event of total or partial default payment of the deliveries the day of reception, the purchaser has to pay Captiz a delay penalty equal to the statutory interest rate.

The statutory interets rate that is used is the one in effect the day of the order confirmation. This penalty is calculated on the outstanding amount, including taxes, and runs from the price’s date of maturity without no setting in preliminary residence being necessary.

In accordance with articles 441-6 and D.441-5 from the French Commerce Code, in addition to delay compensation, any unpaid sum by its due date, including the deposit, will automatically produce the payment of an overall payment of 40 euros in respect of recovery costs.
An extra compensation shall be claimed, upon presentation of receipts, when the recovery costs incurred are higher than the amount of the overall payment.

Article 8 - Resolutory clause:

In the event of default payment, within forty eight hours after the formal demand remained unsuccessful, the sale will be terminated as of right of Captiz. The outstanding amount for other deliveries will immediately become payable if Captiz does not opt for the termination of the corresponding orders.

Article 9 - Deliveries:

The products, services and benefits delivery of Captiz is done:
either by providing the goods directly to the purchaser,
either by sending an electronic assessment notice or a paper to the attention of the purchaser,
either at the place indicated in the agreement by the purchaser.

The delivery deadline specified during the order registration is only given on an indicative basis and is not guaranteed.
As a consequence, any reasonable delay in the services and products delivery cannot give cause to compensatory damages in favour of the purchaser or to the order cancellation.

In the event of services considered missing or of claims, the purchaser will have to formulate every necessary reserves and transmit them to the customer service of Captiz. Moreover, those reserves will have to be confirmed in writing within five days from the delivery, by registered letter or by email to [email protected].

Article 10 - Title retention clause:

The Captiz company preserves the ownership of the services and goods sold until the full payment of the price, principal amount and incidentals.

As such, if the purchaser is subjected to statutory reorganization or liquidation proceedings, Captiz reserves the right to claim, as part of any other collective proceeding, the goods sold that remained unpaid.

Article 11 - Limits of liability:

Captiz cannot be held responsible for technical or hardware problems related to the use of Captiz products and services and independent to its willingness, without being exhaustive, such as an online service not accessible for reasons of maintenance or breakdown, a performance that does not satisfying subjective criteria of appreciation, or a malfunction of the platform related to a technical error.

In the event of malfunction or the failure of Captiz products or services , Captiz liability will be restricted to the service payback during the failure period or to the service without demanding an extra compensation.

Article 12 - Withdrawal periods:

The purchaser shall have a period of fourteen clear days, commencing on the access to the platform, to exercise his right of withdrawal without justifying the reasons or paying fines, with the exception when appropriate of the performances of services ordered, being carried out, and/or delivered, alongwith services and credits consumed.

Any claim about the performance must be mutually agreed upon for potential reimbursement.

Article 13 - Guarantees:

Captiz takes the utmost care in the execution of the order and in the quality of the products and services. In the event of malfunction identified by Captiz, its duty will be restricted by the replacement or by the payback of the defective quantity, without any other compensation. Are excluded from the guarantee the defaults and damages arising from the use in unusual conditions or non-compliant with the nature, the prescriptions, the fitness for use of products and services.

Article 14 - Force majeure:

Captiz shall not be held liable if the non-execution or a delay in the execution of one of its obligations described in these terms and conditions of sale arises from a case of force majeure. In that respect, force majeure shall mean any unforeseeable and irresistible external event within the meaning of Article 1148 of the French Civil Code.

Article 16 - Applicable law-language:

These general terms and conditions of sale are governed by and subject to French law. The general terms and conditions of sale was originally written in French. If they were translated into one or several languages, the French version shall be the only authoritative text in the event of a dispute.

Article 17 - Disputes:

French law applies, in the event of a dispute and for contractual relationship, no matter the country of residence or the applicant’s nationality.

In the event of a dispute, the competent court will be the one within whose are of juridiction Captiz headquarters are situated.

Article 18 - Entry into force:

These general terms and conditions of sale entered into force on 1 December 2015.

END-USER LICENSE AGREEMENT



First Article - Scope of application:

This End-User License Agreement applies without restriction nor reserve and is aimed to define modalities and conditions of use of any service (hereafter: the services) proposed on the website http://www.captiz.com and its sub-domains (hereafter: the website), namely:
the availability for registered users (hereafter: users) of an editing and management platform for audio and video transcription and captioning, developed and marketed by Captiz company,
the creation of a profil allowing the user to enter data related to his activity, his staff, and his equipments,
the creation and recording of account parameters by the user,
generation, downloading and consulting of transcriptions and subtitles done on the platform or imported from compatible formats,
the sending and receiving of notifications, emails and alerts on any material from Captiz or the website for users or clients,
and the tools, content, and technical functions made available for each user, no matter the statut of such users
added to every functions developed by Captiz, as part of its technical and commercial development, and scope of its services and software solutions, web, related objects or performances.

The access to the service shall mean within the limits of Captiz technical abilities. In the event of a technical incident, Captiz reserves the right to restrict without notice the access to its services.

Captiz company reserves the right to add, delete or modify any function , at any time, without prior notification.

Article 2 - Services owner:

The services are exploited by Captiz SAS, a company incorporated with 1,000 euros of capital, registered in Bordeaux RCS under the number 813664794 and domiciled 4 rue Eugène et Marc Dulout, 33600 PESSAC-France (hereafter: Captiz).

Article 3 - Access to the website and services:

The Services are available, subject to restrictions specified on the website: for any physical person with a full legal capacity to commit to the present general conditions. The physical person who do not enjoy the full legal capacity can access the Website and Services only with the legal representative’s approval; for any moral person acting through a physical person that has the legal capacity to contract on behalf of the moral person.

Article 4 - Acceptance of end-user license agreement:

The acceptance of the present end-user license agreement is effected via a box to tick in the registration form, or in writing or signing a sale contract or email. This acceptance can only be full. Any conditionnal subscription is considered void and invalid. The user who does not accept being bound by the present end-user license agreement must not use the Services.

Article 5 - Registration on the website:

The use of Services requires the user to register on the website, by filling the form provided for that purpose. The user must provide all the informations marked as mandatory. Any incomplete registration will not be validated.

The registration implies automatically the opening of an account on behalf of the User (hereafter: the Account) that gives him access to a personal space (hereafter: the “Personal Space”) that allows him to manage his use of Services in a form and according to the technical means that Captiz considers the most appropriate to render such Services.

The User guarantees that all the informations he or she gives in the registration form are exact, up-to-date and sincere and are not affected by any deceptive nature.

He or she commits to update those informations in his or her Personal Space in the event of modifications to make sure they meet the above criteria.

The User is informed and accepts that the informations entered for the creation or the updating of his Account act as proof of his identity. The informations entered by the User commit him or her as soon as they are validated.

The User can access his Personal Space at any time after being identified with his or her login name and his or her password.

The User commits to use personally the Services and not to allow any third to use them in his or her position or on behalf of him or her, except for assuming full responsability.

He/She is also responsible for maintaining confidentiality of his/her login name and his/her password. He/She must immediately contact Captiz to the coordinates specified in Article 2 of the present general conditions if he/she notes that his /her account was used unwittingly. He/She concedes to Captiz the right to take the necessary measures in such a case.

Article 6 - Description of the Services:

The User has access to the Services described on the site, in a form and according to the functions and technical means that Captiz considers the most appropriate.

Article 7 - Paid services:

The Services are supplied for a fee. A free trial version can be furnished, at the discretion of Captiz and according to modalities of which it will be the only judge.

7.1 Pricing:

Services pricing is indicated on the quotation or the contract edited by Captiz or on Captiz website.

Except as otherwise indicated, the price is expressed in euros excluding taxes and delivery charges.

Captiz reserves the right, at its discretion and according to modalities of which it will be the only judge, to propose promotional offers or price reductions.

7.2 Pricing reviews:

Services’ pricing might be subject to a revision by Captiz at any time, at its discretion. The User will be informed of these modifications by Captiz by electronic means (email or online notification) with prior notice of 2 (two) months before the entry into force of the new tariffs.

7.3 Invoicing:

Services are subject to invoices which are transmitted to the user by any useful means.

7.4 Terms of payment:

Terms of payment of Services prices are described on the website or on the quotation or on the sale contract. Captiz reserves the right, at its discretion and according to modalities of which it will be the only judge, to propose different terms of payment to its clients.

Payment is made by direct debit from the user’s credit card number or by transfer to the account of Captiz or by cheque according to modality offered by Captiz.

In the event of debit, debit is implemented by the payment service provider designated on the website or the sale contract or the quotation, which alone retains the user’s bank details for this purpose.

The User ensures to Captiz that he/she has the authorizations required to use the method of payment chosen. If he/she opts for direct debit, he/she commits to take the necessary action so as direct debit of Services price can be carried out. If he/she opts for payment by cheque, he/she commits to take necessary action so as the cheque covering Services price can be cashed. If he/she opts for transfer, he/she commits to take necessary action so as transfer of Services price can be carried out.

7.5 Delays and payment incidents:

The User is informed and expressly accepts that any delayed payment of all or part of the outstanding sum at maturity automatically leads to, without prejudice to the provisions of Article 12 and without prior notification:
an early payment of all the sums due from the User and their immediate payability;
the immediate suspension of on-going Services until the complete payment of all the sums due from the User;
invoicing in favour of Captiz of a delay interest rate equal to 3 (three) times the statutory rate of interest applicable, based on the amount of all the sums due from the User.

Article 8 - Data:

The User recognizes and expressly accepts: that data collected on the website and on Captiz computer equipment demonstrate the reality of transactions carried out in the context of these general conditions; that those data are the only form of proof conceded between the parties, especially to calculate the amount of the sums due to Captiz.

The User can access those data in his Personal Space or, when those data are not available, by simple request to [email protected].

Article 9 - User obligations:

Without prejudice of the other obligations specified in the end-user license agreement, the User commits to respect the following obligations:

9.1
The User commits, in his/her use of Services, to respect laws and rules that are into force and to not infringe third’s rights or the public order. He/she is solely responsible for the effective completion of the procedures, especially administrative, fiscal and/or social and for all the payments of contributions, or core tax of all categories issuing, at maturity, relating to his/her use of Services. As such, Captiz liability cannot be committed.

9.2
The User admits having taken knowledge on the website of the features and constraints, notably technical, of all Services. He /she is solely responsible of his /her use of Services.

9.3
The User is informed and accepts that the implementation of Services requires that he/she is connected to the Internet and that the quality of services directly depends on that connection, of which he/she is solely responsible.

9.4
The User is also solely responsible for the relationships that he /she can build with the other users and for the information-sharing arrangments in the context of Services. He/She shall exercise the appropriate prudence and discernment in his/her relationships and communications. Moreover, the User commits to respect the common rules of politeness and courtesy in his/her interactions with the other Users.

9.5
The User commits to strictly make personal use of Services. As a consequence, he/she is prohibited from transfering, granting or conveying all or parts of his rights and obligations hereunder to a third, in any way whatsoever.

9.6
The User commits to supply to Captiz any information necessary for the proper implementation of Services. More generally, the User commits to actively cooperate with Captiz for the purpose of the proper execution of the general conditions.

9.7
The User is solely responsible for the contents of any form (editorial, graphical, audiovisual or other, including the name and/or the picture potentially picked by the User to identify on the website) that he/she broadcasts in the context of Services (specified hereafter: the “Contents”).

He/She ensures to Captiz that he has every rights and authorizations necessary for the distribution of those Contents.

He/She commits that such Contents are lawful, do not infringe public order, standard behaviours or the third’s rights, do not violate any legal or regulatory provision and more generally that they can in no way jeopardize Captiz civile or penal liability.

Thus the User is prohibited from broadcasting, especially and without this list being exhaustive:
defamatory, offensive, violent, racist, xenophobic or revisionist Contents,
infringing Contents,
Contents detrimental to the image of a third,
false, misleading Contents or Contents that propose or foster unlawful, fraudulent or misleading activities Contents that are detrimental to third’s computer systems (such as viruses, worms, Trojan horses, etc) and more generally, Contents likely to prejudice the right of third parties or to be detrimental to the third, in any manner or form.

9.8
The User admits that Services provide him/her an additional solution but not alternative to the means he/she already uses furthermore to reach the same objective and that this solution shall not act as a substitute for those other means.

9.9
The User must take necessary action to save by his/her own means the informations of his/her Personal Space that he/she deems necessary, for as much as Captiz does not offer any supply guarantee of a copy.

9.10
The User is informed and accepts that the implementation of Services requires that he/she is connected to the internet and that Services quality directly depends on this connection, of which he/she is solely responsiblle.

Article 10 - User’s guarantee:

The User shall indemnify Captiz against any particular complaint, claim, request, action and/or demand that Captiz could undergo as a result of an violation, by the User, of one of his/her obligations or guarantees hereunder.

He/she commits to compensate all the loss that it could suffer and to pay it all the costs, charges and/or convictions that it could have to bear.

Article 11 - Prohibited behaviours:

11.1 It is strictly forbidden using Services for the following purposes: the exercise of illegal, fraudulent activities or activities that affect the rights and security of the third parties,
public order offenses or violation of the laws and regulations that are into force, the intrusion in the computer system of a third or any activity liable to cause serious damage, to control, to interfere or to intercept all or parts of the computer system of the third, violating the integrity or the security,
the sending of unsolicited and/or prospecting emails or emails for commercial sollicitation, manipulations aimed at improving the referencing of a third website, the help or incentive, in any manner or form, to one or several acts and activities described above, and more generally any practice that diverts Services for purposes other than those for which they were tailored.

11.2
Users are strictly forbidden from copying and/or diverting the concept, the technologies ou any other element from Captiz website for their purpose or for third purpose.

11.3
Are also forbidden: (i) any behaviour likely to interrupt, suspend, slowdown or prevent the continuity of Services,
(ii) any intrusion ou attemps of intrusion in Captiz computer systems,
(iii) any diversion of the system resources of the website,
(iv) any action that could impose a disproportionate burden over its infrastrutures,
(v) any violation of the security and authentification measures,
(vi) any act which could violate the rights and financial, commercial or moral interets of Captiz or users of the website, finally and in more general terms,
(vii) any violation of the present end-user license agreement.

11.4
It is strictly forbidden to bargain, sell or concede all or parts of the access to Services or to the website, such as to the informations that are hosted and/or shared.

Article 12 - Penalties for infringements:

In the event of the infringement of one of the dispositions of the present end-user license agreement or more generally, in the event of the disregard of laws and regulations that are into force by a User, Captiz reserves the right to take any appropriate action and in particular:

(i) to suspend or resiliate the access to Services for the User author of the infringement or the infraction or who participated,
(ii) to delete any content put online on the website,
(iii) to publish on the website any information message that Captiz will consider useful,
(iv) to warn any concerned authority,
(v) to initiate legal action. Article 13 - Captiz liability and guarantee:

13.1
Captiz commits to supply Services diligently and based on the best practices, as it is precised that it is subjected to an obligation of means, with the explicit exclusion of any obligation of results, aspect that Users recognize and expressly accept.

13.2
Captiz is not aware of the Contents put online by Users in the context of Services, on which it does not carry out any moderation, selection, audit or control of any kind and it takes action as hosting provider.
As a consequence, Captiz cannot be held responsible for the Contents of which the authors are third parties, and any possible claim will have to be directed to the author of the Contents at issue.

Contents that are detrimental to thirds can be subject to a notification to Captiz in accordance with the procedures laid down in Article 615 of the French law n° 2004-575 of 21 June 2004 for building confidence in digital economy, as Captiz reserves to take actions described in Article 12.

13.3
Captiz declines any liability in the event of a possible loss of informations accesible in the Personal Space of the User as he must save a copy and cannot be eligible for any compensation for this.

13.4
Captiz commits to regularly proceed to controls in order to check the function and accessibility of the website. As such, Captiz reserves the possibility to momentarily interrupt the access to the website for maitaining reasons. Similarly, Captiz cannot be held responsible for the difficulties or the momentary impossibilities to access the website originating from circumstances that are external, force majeure or due to disruptions of telecommunications networks.

13.5
Captiz does not guarantee to Users (i) that Services, subject to continuous search to improve in particular the performance and the progress, will be completely free from error, sin or default, (ii) that Services, as they are standard and not proposed for a sole intention of a User given according to his own personal constraints. will specifically answer to his needs and expectations.

13.6
At all events, the liability potentially incurred by Captiz for this conditions is expressly limited to the only direct damages endured by the User.

Article 14 - Intellectual property:

The systems, softwares, structures, infrastructures, databases et contents of any kind (texts, images, visual document, musics, logos, brands, databases, etc) exploited by Captiz within the website are protected by any intellectual property right or by rights of databases producers that are into force.

Any disassembly, decompilation, decoding, extraction, reutilization, copies and more generally any act of reproduction, representation, spread and use of one of these elements, in full or in part, without Captiz authorization are strictly forbidden and could be called for legal action.

Captiz is not held responsible for the infractions related to the intellectual and industrial property rights in the context of the content posted by the users and clients. Any content published on the website cannot be copied, exploited without the prior written consent of the right holders related to those contents.

Article 15 - Protection of personal data:

In accordance with the law 78-17 of 6 January 1978, it is recalled that individual-related data which are requested to the user of the website services are necessary for the function and provision of services from Captiz.

The user has, in accordance with national and european regulations that are into force, a permanent right of access, modification, rectification and opposition since he is concerned by the informations.

Article 16 - Advertising:

Captiz reserves the capacity to insert on any page of the website and in every communication to the Users any commercial or promotional message of one kind and under conditions that it will judge alone.

Article 17 - Links and third-party sites:

By no means Captiz could be held responsible for the technical availability of websites or mobile applications exploited by third parties (including its potential partners) where the User could access through the website.

Captiz does not endorses any responsability about the contents, advertisments, products and/or services available on such websites and third mobile applications which are regulated by their own conditions of use.

Nor Captiz can be held responsible for transactions which take place between the User and an advertiser, professional or retailer (including its potential partners) that the User found via the website and who will not be part of the possible disputes, weither it is with those thirds especially about the delivery of products and/or services, the guarantees, statements and any other obligation that applies to those thirds.

Article 18 - Duration of services and unsubscription:

Services are suscribed by default for an undefinite period.

The User can unsubscribe Services at any time, by making a request for Captiz by email, to the coordinates mentioned in Article 2.

The unsubscription is immediately effective. It implies the automatic deletion of the user account.

In the event of paying access to Services, the User will have de pay all the sums due for which the user would have given his/her commitment in the sale contract or the quotation or the order on the website, despite the closing of the account.

Article 19 - Modifications:

Captiz reserves the capacity to modify at any time the present end-user license agreement. The user will be informed of theses modifications by any means available.

The user that does not accept the modifies general conditions must unsubscribe from Services in accordance with the modalities specified in Article 18.

Any User who uses Services after the modified general conditions has entered into force is supposed to have accepted those modifications.

Article 20 - Applicable law - Language:

The present general conditions of use are managed and governed by French law. The end-user license agreement is written in French. If it was translated into one or several languages, the French version shall be the only authoritative text in the event of a dispute.

Article 21 - Disputes:

French law applies, in the event of a dispute and for contractual relationship, no matter the country of residence the applicant’s nationality. In the event of a dispute, the competent court will be the one within whose are of juridiction Captiz headquarters are situated.

CONDITIONS GÉNÉRALES DE VENTE



Article Premier – Objet:

Les conditions générales de ventes décrites ci-après détaillent les droits et obligations de la société Captiz et de ses clients professionnels dans le cadre de la vente d'un accès aux technologies logicielles et web ainsi que des services liées.

Toute prestation accomplie par la société Captiz implique l’adhésion sans réserve de l’acheteur aux présentes conditions générales de vente. L’offre Captiz n’est pas destinée aux particuliers.

Article 2 - Présentation des produits:

L’objet des produits et services Captiz est de faciliter l’accessibilité globale des médias, en particulier de la vidéo. Les caractéristiques des produits et services liés proposés à la vente sont présentées dans les contrats de vente de Captiz, ainsi que sur son site www.captiz.com. Les photographies de la plateforme n’entrent pas dans le champ contractuel. La responsabilité de la société Captiz ne peut être engagée si des erreurs s’y sont introduites. Tous les textes et images présentés sur le site de la société Captiz sont réservés, pour le monde entier, au titre des droits d’auteur et de propriété intellectuelle. Leur reproduction, même partielle, est strictement interdite.

Article 3 - Conditions tarifaires:

La tarification Captiz indique par défaut les prix en euros, hors taxes. Le montant de la TVA est précisé lors de propositions commerciales par devis, ou dans les contrats après sélection d’un produit ou d’un service par le client.

Captiz se réserve le droit de modifier ses prix à tout moment, mais les produits et services commandés sont facturés au prix en vigueur lors de l’enregistrement de la commande ou de la signature du contrat.

Aucun escompte ne sera accordé en cas de paiement anticipé.

Article 4 - Durée de validité des offres de vente:

Les produits sont proposés à la vente jusqu’à épuisement des stocks. En cas de commande d’un produit ou service devenu indisponible, le client sera informé de cette indisponibilité, dans les meilleurs délais, par courrier électronique ou par courrier postal.

En cas de paiement du client pour un produit ou service indisponible, Captiz remboursera le client, dans les meilleurs délais, sans qu’aucune indemnité ni intérêt ne soit versé au client.

Article 5 – Commandes:

Le client valide sa commande lorsqu’il accepte par e-mail ou courrier un devis, ou lors de la signature d'un contrat. Toute commande entraîne l'acceptation des présentes conditions générales de vente.

Avant cette validation, il est proposé au client de vérifier chacun des éléments de sa commande; il peut ainsi corriger ses erreurs éventuelles.

Les données enregistrées par la société Captiz constituent la preuve de la nature, du contenu, et de la date de la commande. Celle-ci est archivée par la société Captiz dans les conditions et les délais légaux; le client peut accéder à cet archivage en contactant le service Relations Clients.

Article 6 - Conditions de paiement:

Le règlement des commandes s’effectue:
soit par chèque;
soit par carte bancaire;
soit par paiement en ligne lorsqu’il est proposé.
Lors de l’enregistrement de la commande (acceptation du devis ou signature du contrat), l’acheteur devra verser l’intégralité du montant global de la facture.

Article 7 - Retards de paiement:

En cas de défaut de paiement total ou partiel des prestations au jour de la réception, l’acheteur doit verser à la société Captiz une pénalité de retard égale au taux de l’intérêt légal.

Le taux de l’intérêt légal retenu est celui en vigueur au jour de la validation de la commande. Cette pénalité est calculée sur le montant TTC de la somme restant due, et court à compter de la date d’échéance du prix sans qu’aucune mise en demeure préalable ne soit nécessaire.

Conformément aux articles 441-6 c. com. et D. 441-5 c. com., en sus des indemnités de retard, toute somme, y compris l’acompte, non payée à sa date d’exigibilité, produira de plein droit le paiement d’une indemnité forfaitaire de 40 euros due au titre des frais de recouvrement. Une indemnité complémentaire pourra être réclamée, sur justificatifs, lorsque les frais de recouvrement exposés sont supérieurs au montant de l'indemnité forfaitaire.

Article 8 - Clause résolutoire:

En cas de défaut de paiement, quarante huit heures après une mise en demeure restée infructueuse, la vente sera résiliée de plein droit par Captiz. Les sommes restant dues pour d’autres livraisons deviendront immédiatement exigibles si Captiz n’opte pas pour la résolution des commandes correspondantes.

Article 9 – Livraisons:

La livraison des produits, services et prestations de Captiz est effectuée:
- soit par la remise directe de la marchandise à l’acheteur,
- soit par l’envoi d’un avis de mise à disposition électronique ou papier à l’attention de l’acheteur,
- soit au lieu indiqué dans le contrat par l'acheteur.
Le délai de livraison indiqué lors de l’enregistrement de la commande n’est donné qu’à titre indicatif et n’est aucunement garanti.

Par voie de conséquence, tout retard raisonnable dans la livraison des services et produit ne pourra pas donner lieu au profit de l’acheteur à l’allocation de dommages et intérêts, ou à l’annulation de la commande.

En cas de services estimés manquants ou de réclamations, l’acheteur devra formuler toutes les réserves nécessaires et les transmettre au service client de Captiz. Ces réserves devront être, en outre, confirmées par écrit dans les cinq jours suivant la livraison, par courrier recommandé AR ou par e-mail à [email protected].

Article 10 - Clause de réserve de propriété:

La société Captiz conserve la propriété des prestations, services et biens vendus jusqu’au paiement intégral du prix, en principal et en accessoires.

A ce titre, si l’acheteur fait l’objet d’un redressement ou d’une liquidation judiciaire, la société Captiz se réserve le droit de revendiquer, dans le cadre de la procédure collective, les marchandises vendues et restées impayées.

Article 11 - Limites de responsabilité:

La société Captiz ne pourra être tenue responsable des problèmes techniques ou matériels liés à l’utilisation des produits et services Captiz et non dépendants de sa volonté, tels que, mais non exhaustifs, un service en ligne non accessible pour raison de maintenance ou de panne, une prestation ne satisfaisant pas des critères subjectifs d'appréciation, ou un mauvais fonctionnement de la plateforme lié à une erreur technique.

En cas de mauvais fonctionnement ou de défaillance des produits ou services Captiz, la responsabilité de Captiz sera limitée au remboursement du service durant la période de défaillance, ou du service, sans qu’aucun dommage et intérêt supplémentaire ne puisse être demandé.

Article 12 - Délai de rétractation:

L’acheteur dispose d’un délai de quatorze jours francs, à compter de l'accès à la plateforme, pour exercer son droit de rétractation, sans avoir à justifier de motifs ni à payer de pénalités, à l’exception le cas échéant des prestations de services commandées, en cours de réalisation, et/ou livrées, ainsi que des services et crédits consommés.

Toute réclamation concernant la prestation doit faire l’objet d’un accord.

Article 13 – Garanties:

Captiz apporte le plus grand soin à l’exécution de la commande et à la qualité des produits et services. En cas de défectuosité reconnue par Captiz, l’obligation de ce dernier sera limitée au remplacement ou remboursement des quantités défectueuses, sans aucune autre indemnité. Sont exclus de la garantie les défauts et dommages résultants d’utilisation dans des conditions anormales ou non conformes avec la nature, les prescriptions, l’aptitude à l’emploi des produits et services.

Article 14 - Force majeure:

La responsabilité de la société Captiz ne pourra pas être mise en oeuvre si la non-exécution ou le retard dans l’exécution de l’une de ses obligations décrites dans les présentes conditions générales de vente découle d’un cas de force majeure. A ce titre, la force majeure s’entend de tout événement extérieur, imprévisible et irrésistible au sens de l’article 1148 du Code civil.

Article 16 - Droit applicable – Langue:

Les présentes conditions générales de vente sont régies et soumises au droit français. Les Conditions Générales de Vente sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français ferait foi en cas de litige.

Article 17 - Litiges :

Le droit français s'applique, en cas de litige et en cas de relations contractuelles, quel que soit le pays de résidence ou la nationalité du demandeur.

En cas de litige, le tribunal compétent sera celui dans le ressort duquel se trouve le siège social de Captiz.

Article 18 – Entrée en vigueur :

Les présentes conditions générales de vente sont entrées en vigueur le 1er décembre 2015



CONDITIONS GENERALES D’UTILISATION



Article Premier – Champs d'application

Les présentes Conditions Générales d'Utilisation s'appliquent sans restriction ni réserve et ont pour objet de définir les modalités et conditions d'utilisation de l'ensemble des services (ci-après: les Services) proposés par sur le site http://www.captiz.com et ses sous-domaines (ci-après : le site), à savoir:

- la mise à disposition auprès des internautes inscrits (ci-après: utilisateurs), d'une plateforme d'édition et de gestion de la transcription et du sous-titrage audio et vidéo, développée et commercialisée par la société Captiz,

- la création d'un profil permettant à l’utilisateur d’entrer des données relatives à son activité, ses équipes, et ses équipements,

- la création et l’enregistrement de paramètres de comptes par l’utilisateur,

- la génération, le téléchargement et la consultation de transcriptions et de sous-titres réalisés sur la plateforme ou importés depuis des formats compatibles,

- l'envoi et la réception de notification, d'e-mail et d’alertes sur tout support de la part de Captiz ou du site internet vers les utilisateurs ou vers les clients,

- et les outils, le contenu, et les fonctionnalités techniques mis à la disposition de chaque utilisateur, quelque soit le statut desdits utilisateurs,

- ainsi que toutes les fonctionnalités développées par la société Captiz, dans le cadre de son développement technique et commercial, et de l’étendue de ses services et solutions logicielles, web, objets connectés ou des prestations.

L'accès au service s'entend dans la limite des capacités techniques de la société Captiz. En cas d'incident technique, la société Captiz se réserve le droit de restreindre sans préavis l'accès à ses services.

La société Captiz se réserve le droit d'ajouter, de supprimer, ou de modifier toute fonctionnalité, à tout moment, sans notification préalable.

Article 2 – Exploitant des services

Les Services sont exploités pas la société Captiz, SAS au capital de 1000 €, immatriculée au RCS de Bordeaux sous le numéro 813664794, et domiciliée 4 rue Eugène et Marc Dulout, 33600 PESSAC – France (Ci-après : Captiz)

Article 3 – Accès au site et aux Services

Les Services sont accessibles, sous réserve des restrictions prévues sur le site :

à toute personne physique disposant de la pleine capacité juridique pour s'engager au titre des présentes conditions générales. La personne physique qui ne dispose pas de la pleine capacité juridique ne peut accéder au Site et aux Services qu'avec l'accord de son représentant légal;

à toute personne morale agissant par l'intermédiaire d'une personne physique disposant de la capacité juridique pour contracter au nom et pour le compte de la personne morale.

Article 4 – Acceptation des conditions générales

L'acceptation des présentes conditions générales est matérialisée par une case à cocher dans le formulaire d'inscription, ou par écrit ou par la signature d'un contra de ventet. Cette acceptation ne peut être que pleine et entière. Toute adhésion sous réserve est considérée comme nulle et non avenue. L'utilisateur qui n'accepte pas d'être lié par les présentes conditions générales ne doit pas utiliser les Services.

Article 5 – Inscription sur le site

L’utilisation des Services nécessite que l’Utilisateur s’inscrive sur le site, en remplissant le formulaire prévu à cet effet. L’Utilisateur doit fournir l’ensemble des informations marquées comme obligatoires. Toute inscription incomplète ne sera pas validée.

L’inscription entraîne automatiquement l’ouverture d’un compte au nom de l’Utilisateur (ci-après : le Compte), lui donnant accès à un espace personnel (ci-après : l’« Espace Personnel ») qui lui permet de gérer son utilisation des Services sous une forme et selon les moyens techniques que Captiz juge les plus appropriés pour rendre lesdits Services.

L’Utilisateur garantit que toutes les informations qu’il donne dans le formulaire d’inscription sont exactes, à jour et sincères et ne sont entachées d’aucun caractère trompeur.

Il s’engage à mettre à jour ces informations dans son Espace Personnel en cas de modifications, afin qu’elles correspondent toujours aux critères susvisés.

L’Utilisateur est informé et accepte que les informations saisies aux fins de création ou de mise à jour de son Compte vaillent preuve de son identité. Les informations saisies par l’Utilisateur l’engagent dès leur validation.

L’Utilisateur peut accéder à tout moment à son Espace Personnel après s’être identifié à l’aide de son identifiant de connexion ainsi que de son mot de passe.

L’Utilisateur s’engage à utiliser personnellement les Services et à ne permettre à aucun tiers de les utiliser à sa place ou pour son compte, sauf à en supporter l’entière responsabilité.

Il est pareillement responsable du maintien de la confidentialité de son identifiant et de son mot de passe. Il doit immédiatement contacter Captiz aux coordonnées mentionnées à l’article 2 des présentes s’il remarque que son Compte a été utilisé à son insu. Il reconnaît à Captiz le droit de prendre toutes mesures appropriées en pareil cas.

Article 6 - Description des Services

L'utilisateur a accès aux Services décrits sur le site, sous une forme et selon les fonctionnalités et moyens techniques que Captiz juge les plus appropriés.

Article 7 - Services payants

Les Services sont fournis à titre payant. Une version d'essai gratuite pourra être fournie, à la libre discrétion de Captiz et selon des modalités dont elle sera seule juge.

7.1 Prix

Le prix des Services est indiqué sur le devis ou le contrat édité par Captiz ou sur le site Captiz.

Sauf mention contraire, le prix est exprimé en euros et hors taxes et hors frais de livraison.

Captiz se réserve le droit, à sa libre discrétion et selon des modalités dont elle sera seule juge, de proposer des offres promotionnelles ou réductions de prix.

7.2 Révision des prix

Le prix de Services peut faire l'objet d'une révision par Captiz à tout moment, à sa libre discrétion. L'utilisateur sera informé de ces modifications par Captiz par voie électronique (e-mail ou notification en ligne) sous un préavis de 2 (deux) mois avant l'entrée en vigueur des nouveaux tarifs.

L'Utilisateur qui n'accepte pas les nouveaux prix doit mettre fin à son utilisateur des Services selon les modalités prévues à l'article 18. A défaut, il sera réputé avoir accepté les nouveaux tarifs.

7.3 Facturation

Les Services font l'objet de factures qui sont communiquées à l'Utilisateur par tout moyen utile.

7.4 Modalités de paiement

Les modalités de paiement du prix des Services sont décrites sur le site ou sur le devis ou sur le contrat de vente. Captiz se réserve le droit, à sa libre discrétion et selon des modalités dont elle sera seule juge, de proposer des modalités de paiement différentes à ses clients.

Le paiement s'effectue par prélèvement automatique à partir du numéro de carte bancaire de l'Utilisateur ou par virement sur le compte de Captiz ou par chèque selon la modalité offerte par Captiz.

En cas de prélèvement, le prélèvement est mis en œuvre par le prestataire de paiement désigné sur le site ou le contrat de vente ou le devis, qui seul conserve les coordonnées bancaires de l'Utilisateur à cette fin. Captiz ne conserve aucune coordonnée bancaire.

L'Utilisateur garantit à Captiz qu'il dispose des autorisations nécessaires pour utiliser le mode de paiement choisi. En cas de choix pour le prélèvement automatique, il s'engage à prendre les mesures nécessaires afin que le prélèvement automatique du prix des Services puisse être effectué. En cas de choix pour le règlement par chèque, il s'engage à prendre les mesures nécessaires afin que l'encaissement d'un chèque au montant du prix des Services puisse être effectué. En cas de choix pour le virement, il s'engage à prendre les mesures nécessaires afin que le virement du prix des Services puisse être effectué.

7.5 Retards et incidents de paiement

L’Utilisateur est informé et accepte expressément que tout retard de paiement de tout ou partie d’une somme due à son échéance entraînera automatiquement, sans préjudice des dispositions de l’article 12 et sans mise en demeure préalable :

(i) La déchéance du terme de l’ensemble des sommes dues par l’Utilisateur et leur exigibilité immédiate ;
(ii) La suspension immédiate des Services en cours jusqu’au complet paiement de l’intégralité des sommes dues par l’Utilisateur ;
(iii) La facturation au profit de Captiz d’un intérêt de retard au taux de 3 (trois) fois le taux de l’intérêt légal, assis sur le montant de l’intégralité des sommes dues par l’Utilisateur.

Article 8 - Données

L’Utilisateur reconnaît et accepte expressément :

(i) que les données recueillies sur le site et sur les équipements informatiques de Captiz font foi de la réalité des opérations intervenues dans le cadre des présentes ;
(ii) que ces données constituent le seul mode de preuve admis entre les parties, notamment pour le calcul des sommes dues à Captiz. L’Utilisateur peut accéder à ces données dans son Espace Personnel ou, lorsque ces données ne sont pas accessibles, par simple demande à [email protected]

Article 9 – Obligations de l'Utilisateur

Sans préjudice des autres obligations prévues aux présentes, l'Utilisateur s'engage à respecter les obligations qui suivent :

9.1
L’Utilisateur s’engage, dans son usage des Services, à respecter les lois et règlements en vigueur et à ne pas porter atteinte aux droits de tiers ou à l’ordre public.

Il est notamment seul responsable du bon accomplissement de toutes les formalités notamment administratives, fiscales et/ ou sociales et de tous les paiements de cotisations, taxes ou impôts de toutes natures qui lui incombent, le cas échéant, en relation avec son utilisation des Services. La responsabilité de Captiz ne pourra en aucun cas être engagée à ce titre.

9.2
L’Utilisateur reconnaît avoir pris connaissance sur le site des caractéristiques et contraintes, notamment techniques, de l’ensemble des Services. Il est seul responsable de son utilisation des Services.

9.3
L’Utilisateur est informé et accepte que la mise en œuvre des Services nécessite qu’il soit connecté à internet et que la qualité des Services dépend directement de cette connexion, dont il est seul responsable.

9.4
L’Utilisateur est également seul responsable des relations qu’il pourra nouer avec les autres Utilisateurs et des informations qu’il leur communique dans le cadre des Services. Il lui appartient d’exercer la prudence et le discernement appropriés dans ces relations et communications. L’Utilisateur s’engage en outre, dans ses échanges avec les autres Utilisateurs, à respecter les règles usuelles de politesse et de courtoisie.

9.5
L’Utilisateur s'engage à faire un usage strictement personnel des Services. Il s’interdit en conséquence de céder, concéder ou transférer tout ou partie de ses droits ou obligations au titre des présentes à un tiers, de quelque manière que ce soit.

9.6
L'Utilisateur s'engage à fournir à Captiz toutes les informations nécessaires à la bonne exécution des Services. Plus généralement, l'Utilisateur s'engage à coopérer activement avec Captiz en vue de la bonne exécution des présentes.

9.7
L’Utilisateur est seul responsable des contenus de toute nature (rédactionnels, graphiques, audiovisuels ou autres, en ce compris la dénomination et/ou l’image éventuellement choisies par l’Utilisateur pour l’identifier sur le site) qu’il diffuse dans le cadre des Services (ci-après désignés : les « Contenus »).

Il garantit à Captiz qu’il dispose de tous les droits et autorisations nécessaires à la diffusion de ces Contenus.

Il s’engage à ce que lesdits Contenus soient licites, ne portent pas atteinte à l’ordre public, aux bonnes mœurs ou aux droits de tiers, n’enfreignent aucune disposition législative ou réglementaire et plus généralement, ne soient aucunement susceptibles de mettre en jeu la responsabilité civile ou pénale de Captiz

L’Utilisateur s’interdit ainsi de diffuser, notamment et sans que cette liste soit exhaustive :
- des Contenus diffamatoires, injurieux, violents, racistes, xénophobes ou révisionnistes,
- des Contenus contrefaisants,
- des Contenus attentatoires à l’image d’un tiers,
- des Contenus mensongers, trompeurs ou proposant ou promouvant des activités illicites, frauduleuses ou trompeuses,
- des Contenus nuisibles aux systèmes informatiques de tiers (tels que virus, vers, chevaux de Troie, etc.),
- et plus généralement des Contenus susceptibles de porter atteinte aux droits de tiers ou d’être préjudiciables à des tiers, de quelque manière et sous quelque forme que ce soit.

9.8
L’Utilisateur reconnaît que les Services lui offrent une solution supplémentaire mais non alternative des moyens qu’il utilise déjà par ailleurs pour atteindre le même objectif et que cette solution ne saurait se substituer à ces autres moyens.

9.9
L’Utilisateur doit prendre les mesures nécessaires pour sauvegarder par ses propres moyens les informations de son Espace Personnel qu’il juge nécessaires, Captiz n'offrant aucune garantie de fourniture d'une copie.

9.10
L’Utilisateur est informé et accepte que la mise en œuvre des Services nécessite qu’il soit connecté à internet et que la qualité des Services dépend directement de cette connexion, dont il est seul responsable.

Article 10 – Garantie de l'Utilisateur

L'utilisateur garantit Captiz contre toutes plaintes, réclamations, actions et/ou revendications quelconques que Captiz pourrait subir du fait de la violation, par l'Utilisateur, de l'une quelconque de ses obligations ou garanties aux termes des présentes conditions générales.

Il s'engage à indemniser Captiz de tout préjudice qu'elle subirait et à lui payer tous les frais, charges et/ou condamnations qu'elle pourrait avoir à supporter de ce fait.

Article 11 – Comportements prohibés

11.1
Il est strictement interdit d’utiliser les Services aux fins suivantes : - l’exercice d’activités illégales, frauduleuses ou portant atteinte aux droits ou à la sécurité des tiers, - l’atteinte à l’ordre public ou la violation des lois et règlements en vigueur, - l’intrusion dans le système informatique d’un tiers ou toute activité de nature à nuire, contrôler, interférer, ou intercepter tout ou partie du système informatique d’un tiers, en violer l’intégrité ou la sécurité, - l’envoi d’e-mails non sollicités et/ou de prospection ou sollicitation commerciale, - les manipulations destinées à améliorer le référencement d’un site tiers, - l’aide ou l’incitation, sous quelque forme et de quelque manière que ce soit, à un ou plusieurs des actes et activités décrits ci-dessus, - et plus généralement toute pratique détournant les Services à des fins autres que celles pour lesquelles ils ont été conçus.

11.2
Il est strictement interdit aux Utilisateurs de copier et/ou de détourner à leurs fins ou à celles de tiers le concept, les technologies ou tout autre élément du site de Captiz.

11.3
Sont également strictement interdits : (i) tous comportements de nature à interrompre, suspendre, ralentir ou empêcher la continuité des Services, (ii) toutes intrusions ou tentatives d’intrusions dans les systèmes de Captiz, (iii) tous détournements des ressources système du site, (iv) toutes actions de nature à imposer une charge disproportionnée sur les infrastructures de ce dernier, (v) toutes atteintes aux mesures de sécurité et d’authentification, (vi) tous actes de nature à porter atteinte aux droits et intérêts financiers, commerciaux ou moraux de Captiz ou des usagers de son site, et enfin plus généralement (vii) tout manquement aux présentes conditions générales.

11.4
Il est strictement interdit de monnayer, vendre ou concéder tout ou partie de l’accès aux Services ou au site, ainsi qu’aux informations qui y sont hébergées et/ou partagées.

Article 12 : Sanctions des manquements

En cas de manquement à l'une quelconque des dispositions des présentes conditions générales ou plus généralement, d'infraction aux lois et règlements en vigueur par un Utilisateur, Captiz se réserve le droit de prendre toute mesure appropriée et notamment de :

(i) suspendre ou résilier l’accès aux Services de l’Utilisateur, auteur du manquement ou de l’infraction, ou y ayant participé,
(ii)supprimer tout contenu mis en ligne sur le site,
(iii)publier sur le site tout message d’information que Captiz jugera utile,
(iv) avertir toute autorité concernée,
(v) engager toute action judiciaire.

Article 13: Responsabilité et garantie de Captiz

13.1
Captiz s’engage à fournir les Services avec diligence et selon les règles de l’art, étant précisé qu’il pèse sur elle une obligation de moyens, à l’exclusion de toute obligation de résultat, ce que les Utilisateurs reconnaissent et acceptent expressément.

13.2
Captiz n’a pas connaissance des Contenus mis en ligne par les Utilisateurs dans le cadre des Services, sur lesquels elle n’effectue aucune modération, sélection, vérification ou contrôle d’aucune sorte et à l’égard desquels elle n’intervient qu’en tant que prestataire d’hébergement. En conséquence, Captiz ne peut être tenue pour responsable des Contenus, dont les auteurs sont des tiers, toute réclamation éventuelle devant être dirigée en premier lieu vers l’auteur des Contenus en question.

Les Contenus préjudiciables à un tiers peuvent faire l’objet d’une notification à Captiz selon les modalités prévues par l’article 6 I 5 de la loi n° 2004-575 du 21 juin 2004 pour la confiance dans l'économie numérique, Captiz se réservant de prendre les mesures décrites à l’article 12.

Captiz écline toute responsabilité en cas de perte éventuelle des informations accessibles dans l’Espace Personnel de l’Utilisateur, celui-ci devant en sauvegarder une copie et ne pouvant prétendre à aucun dédommagement à ce titre.

Captiz s’engage à procéder régulièrement à des contrôles afin de vérifier le fonctionnement et l’accessibilité du site. A ce titre, Captiz se réserve la faculté d’interrompre momentanément l’accès au site pour des raisons de maintenance. De même, Captiz ne saurait être tenue responsable des difficultés ou impossibilités momentanées d’accès au site qui auraient pour origine des circonstances qui lui sont extérieures, la force majeure, ou encore qui seraient dues à des perturbations des réseaux de télécommunication.

Captiz ne garantit pas aux Utilisateurs (i) que les Services, soumis à une recherche constante pour en améliorer notamment la performance et le progrès, seront totalement exempts d’erreurs, de vices ou défauts, (ii) que les Services, étant standard et nullement proposés à la seule intention d’un Utilisateur donné en fonction de ses propres contraintes personnelles, répondront spécifiquement à ses besoins et attentes.

En tout état de cause, la responsabilité susceptible d’être encourue par Captiz au titre des présentes est expressément limitée aux seuls dommages directs avérés subis par l’Utilisateur.

Article 14 – Propriété intellectuelle

Les systèmes, logiciels, structures, infrastructures, bases de données et contenus de toute nature (textes, images, visuels, musiques, logos, marques, base de données, etc …) exploités par Captiz au sein du site sont protégés par tous droits de propriété intellectuelle ou droits des producteurs de bases de données en vigueur.

Tous désassemblages, décompilations, décryptages, extractions, réutilisations, copies et plus généralement, tous actes de reproduction, représentation, diffusion et utilisation de l’un quelconque de ces éléments, en tout ou partie, sans l’autorisation de Captiz sont strictement interdits et pourront faire l’objet de poursuites judiciaires.

Captiz n'est pas responsable des infractions liées aux droits de propriété intellectuelle et industrielle dans le cadre du contenu posté par les utilisateurs et clients. Tout contenu publié sur le site ne peut être copié, exploité sans le consentement exprès, préalable et écrit des titulaires des droits liés à ces contenus.

Article 15 – Protection des données personnelles

En application de la loi 78-17 du 6 janvier 1978, il est rappelé que les données nominatives qui sont demandés à l'utilisateur des services du site internet sont nécessaires au fonctionnement et à la fourniture de services de la part de Captiz.

L'utilisateur dispose, conformément aux règlementations nationales et européennes en vigueur, d'un droit d'accès permanent, de modification, de rectification et d'opposition s'agissant des informations le concernant.

Article 16 – Publicité

Captiz se réserve la faculté d'insérer sur toute page du site et dans toute communication aux Utilisateurs tous messages publicitaires ou promotionnels sous une forme et dans des conditions dont Captiz sera seule juge.

Article 17 – Liens et sites tiers

Captiz ne pourra en aucun cas être tenue pour responsable de la disponibilité technique de sites internet ou d’applications mobiles exploités par des tiers (y compris ses éventuels partenaires) auxquels l’Utilisateur accéderait par l'intermédiaire du site.

Captiz n'endosse aucune responsabilité au titre des contenus, publicités, produits et/ou services disponibles sur de tels sites et applications mobiles tiers dont il est rappelé qu’ils sont régis par leurs propres conditions d’utilisation.

Captiz n'est pas non plus responsable des transactions intervenues entre l’Utilisateur et un quelconque annonceur, professionnel ou commerçant (y compris ses éventuels partenaires) vers lequel l’Utilisateur serait orienté par l'intermédiaire du site et ne saurait en aucun cas être partie à quelques litiges éventuels que ce soit avec ces tiers concernant notamment la livraison de produits et/ou services, les garanties, déclarations et autres obligations quelconques auxquelles ces tiers sont tenus.

Article 18 – Durée des Services et désinscription

Les Services sont souscrits par défaut pour une durée indéterminée.

L'utilisateur peut se désinscrire des Services à tout moment, en adressant une demande à cet effet à Captiz par e-mail, aux coordonnées mentionnées à l'article 2.

La désinscription est effective immédiatement. Elle entraîne la suppression automatique du Compte de l'utilisateur.

En cas d'accès payant aux Services, l'Utilisateur sera tenu de régler l'intégralité des sommes pour lesquelles l'Utilisateur se serait engagé selon le contrat de vente ou le devis ou la commande sur le site, malgré la suppression de son compte.

Article 19 - Modifications

Captiz se réserve la faculté de modifier à tout moment les présentes conditions générales. L'utilisateur sera informé de ces modifications par tout moyen utile.

L'utilisateur qui n'accepte pas les conditions générales modifiées doit se désinscrire des Services selon les modalités prévues à l'article 18.

Tout Utilisateur qui a recours aux Services postérieurement à l'entrée en vigueur des conditions générales modifiées est réputé avoir accepté ces modifications.

Article 20 - Droit applicable – Langue

Les présentes conditions générales d'utilisation sont régies et soumises au droit français. Les Conditions Générales d'Utilisation sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français ferait foi en cas de litige.

Article 21 - Litiges

Le droit français s'applique, en cas de litige et en cas de relations contractuelles, quel que soit le pays de résidence ou la nationalité du demandeur.
En cas de litige, le tribunal compétent sera celui dans le ressort duquel se trouve le siège social de Captiz.
